If you, the User, do not agree with these terms, do not join or initiate any conference.

1. COPYRIGHT AND OTHER INTELLECTUAL PROPERTY.  The software associated with this system is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties.

2. YOUR RESPONSIBILITY FOR CONTENT.

· You agree that you are solely responsible for the content of all visual, written or audible communications sent by you.

· You agree that you will not use the system to send unsolicited mass mailings outside your company or organization.

· You further agree not to use the system to communicate any message or material that is harassing, libelous, threatening, obscene, indecent, would violate the intellectual property rights of any party or is otherwise unlawful, that would give rise to civil liability, or that constitutes or encourages conduct that could constitute a criminal offense, under any applicable law or regulation.

3.     RIGHT TO USE. You only have the right to use this system in accordance with this Agreement. You do not have the right to modify or reproduce the system or any associated software.

4.     NO WARRANTIES.  USE OF THIS SYSTEM IS AT YOUR SOLE RISK.  THE SYSTEM IS PROVIDED "AS IS" AND SONEXIS, ITS AFFILIATES, SUPPLIERS AND RESELLERS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.  IN ADDITION, SONEXIS, ITS AFFILIATES, SUPPLIERS AND RESELLERS MAKE NO WARRANTY OR REPRESENTATION REGARDING THE CONTENT OF ANY COMMUNICATIONS, INCLUDING DOWNLOADS, OR THAT THE SYSTEM WILL MEET ANY USER'S REQUIREMENTS, OR BE UNINTERRUPTED, TIMELY, SECURE OR ERROR FREE.  YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOU RESULTING FROM THE USE OF THE SYSTEM.

5. LIMITATION OF LIABILITIES.  SONEXIS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF SONEXIS HAS BEEN NOTIFIED OF THE POSSIBILITY OF SUCH DAMAGES) IN ANY WAY RELATED TO THE USE OF THIS SYSTEM.

6.     GOVERNING LAW. This Agreement shall be governed by and construed under the laws of the Commonwealth of Massachusetts, U.S.A., exclusive of its choice of law principles. The parties consent to the exclusive jurisdiction and venue of the courts located in and serving Suffolk County, Massachusetts.
